Terms of Use – Abdos Life Sciences
Welcome to Abdos Life Sciences. These Terms of Use (“Terms”) govern your access to and use of the Abdos Life Sciences website, products, and services (collectively “Services”). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Scope
These Terms apply to all sales, use, and access to products and services offered by Abdos Life Sciences Pvt. Ltd. (“ABDOS,” “we,” “us,” or “our”). These Terms form a legally binding agreement between ABDOS and you (“Customer,” “you,” or “your”). Individual signed agreements with Customers may supersede these Terms where explicitly referenced.
2. Orders and Contract Formation
All quotations are valid for 30 days unless otherwise stated. Orders become binding only upon written acceptance by ABDOS. Verbal agreements or unconfirmed orders do not constitute a contract. Any changes, amendments, or partial deliveries require prior written approval. ABDOS reserves the right to refuse orders that do not comply with these Terms or applicable regulations.
3. Prices and Payment Terms
Pricing shown excludes applicable taxes, customs duties, and levies including GST. These will be charged additionally and invoiced separately. Invoices issued must be settled within 30 calendar days from the invoice date via the payment method specified by ABDOS. Late payments bear interest at 1.5% per month or the maximum rate allowed by law, whichever is lower. ABDOS reserves the right to suspend supply or terminate contracts until overdue payments are cleared. Pricing may be adjusted due to raw material cost fluctuations, currency changes, or governmental regulatory alterations, with reasonable prior notice.
4. Delivery, Title, and Risk
Domestic deliveries are made at-door; international shipments follow agreed Incoterms such as CIF or FOB. Delivery schedules are binding; delays will be communicated promptly specifying reasons and expected duration. Title and risk of loss transfer upon delivery at the agreed location or per Incoterms conditions. ABDOS undertakes professional packaging compliant with transport regulations and suitable for product preservation.
5. Inspection and Notification of Defects
Customers must conduct a thorough inspection upon receipt to ensure conformity and condition. Reports of visible defects or discrepancies must be submitted in writing within 7 days of delivery. Hidden defects must be reported within 15 days from discovery. Failure to submit timely notifications constitutes acceptance. ABDOS reserves the right to verify defect claims prior to resolution.
6. Warranty and Liability
ABDOS warrants products to be free from defects in material and workmanship for a period of 12 months from delivery unless otherwise specified. This warranty excludes damages resulting from misuse, neglect, modification, or use outside intended research purposes. Remedies under this warranty include product repair, replacement, or refund at ABDOS’s discretion and shall constitute the exclusive remedy. ABDOS disclaims liability for indirect, incidental, or consequential damages including business interruption or lost profits. ABDOS maintains product liability insurance and will cooperate reasonably in third-party claims arising from product defects.
7. Product Use Restrictions
ABDOS products are intended exclusively for laboratory, research, or industrial use and not for direct clinical or therapeutic application. Customers must ensure compliance with all applicable laws, regulations, and safety standards in their use of ABDOS products. Unauthorized use or resale of products outside approved markets is prohibited.
8. Intellectual Property and Confidentiality
All intellectual property rights including trademarks, designs, patents, and technical documentation remain solely with ABDOS or its licensors. Customers agree not to infringe or misuse these rights and shall not disclose confidential information obtained from ABDOS without prior written consent. Obligation of confidentiality extends beyond contract termination.
9. Export Control and Compliance
Customers agree to observe all applicable export control, sanctions, and customs regulations when importing or exporting ABDOS products. ABDOS will not be responsible for delays or non-performance resulting from regulatory prohibitions or restrictions.
10. Sustainability and Environmental Responsibility
ABDOS is committed to reducing environmental impact through energy-efficient manufacturing, sustainable raw materials sourcing, and waste reduction. Packaging is designed to minimize ecological footprint. Customers are encouraged to dispose of packaging and products in accordance with local environmental laws and recycling guidelines.
11. Force Majeure
Neither party shall be liable for failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, war, strikes, pandemics, government actions, or raw material shortages. If force majeure continues beyond 180 days, either party may terminate the affected contract without incurring liability.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of these Terms or transactions shall first be attempted to resolve by amicable negotiations. If unresolved, disputes shall be submitted exclusively to the courts of Kolkata, India, unless the parties agree to mediation or arbitration. The decision of the courts or arbitral tribunal shall be final and binding.
13. User Accounts and Security
By creating an account on ABDOS platforms, you agree to provide accurate information and maintain the confidentiality of login credentials. You shall immediately notify ABDOS of unauthorized account use or security breaches. ABDOS is not liable for damages arising from account misuse or unauthorized access.
14. Indemnification
You agree to indemnify and hold harmless ABDOS, its affiliates, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including lawyers’ fees) arising out of your violation of these Terms, misuse of products, or infringement of any rights.
15. Limitation of Liability
To the fullest extent allowed by law, ABDOS shall not be liable for any incidental, consequential, indirect, punitive, or special damages, including but not limited to lost profits or data, arising from use or inability to use its products or Services, even if ABDOS has been advised of the possibility of such damages.
16. Third-Party Links and Services
ABDOS websites or communications may contain links to third-party websites or services. ABDOS does not endorse nor control these third parties and disclaims all liability for their content or practices. You agree to review their respective terms and privacy policies before use.
17. Privacy
Your use of ABDOS Services is governed by our Privacy Policy, which explains how we collect, use, and protect your information.
18. Modifications to Terms
ABDOS reserves the right to modify these Terms at any time by posting updated Terms on its website. Your continued use of Services after such changes signifies acceptance of the new Terms. You should review these Terms regularly.
19. Termination
ABDOS may suspend or terminate your use of Services or contractual agreements for breaches of these Terms, unlawful activity, or for any reason at its sole discretion without liability.
20. Entire Agreement
These Terms, the Privacy Policy, order confirmations, and any other supplementary documents constitute the entire agreement between you and ABDOS regarding use of the Services and supersede all prior communications.
